1. Eligibility

You must be at least 18 years old and able to enter into a legally binding agreement to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

ProsGrow AI provides an independent third-party platform that may include, without limitation:

• conference and event discovery tools;
• conference hubs and conference-related pages;
• exhibitor, company, side event, and market intelligence information;
• target search, prospecting, and workflow tools;
• AI-generated recommendations, summaries, rankings, and suggested actions;
• user workspaces, notes, uploads, and captured conference-related records; and
• communications, forms, analytics, and subscription services.

The Services may evolve over time, and we may add, remove, or modify features at any time.

3. Conference and Third-Party Event Disclaimer

ProsGrow AI is an independent third-party platform. Unless explicitly stated otherwise in writing, ProsGrow AI is not the official organizer, operator, sponsor, exhibitor manager, representative, or publisher of any conference, trade show, expo, summit, or event listed, referenced, or discussed on the Services.

References to conferences, events, venues, organizers, exhibitors, speakers, sponsors, or related third parties are provided for identification, search, informational, workflow, and analysis purposes only.

Unless explicitly stated otherwise in writing, ProsGrow AI is not affiliated with, endorsed by, authorized by, approved by, sponsored by, or acting on behalf of any conference organizer, event owner, venue, exhibitor, speaker, sponsor, or other rights holder.

Users should rely on the relevant official event websites and official channels for official event details, including registration, attendance policies, exhibitor rules, schedules, speakers, maps, deadlines, and other event information.

If any information on the Services conflicts with information published through an event's official website or official channels, the official source controls.

4. Third-Party Trademarks and Materials

Conference names, event names, company names, product names, logos, brand elements, and trademarks displayed on or referenced through the Services are the property of their respective owners.

Such names, logos, and marks are used solely for identification, reference, comparison, search, commentary, informational display, and other legally permissible purposes. Their appearance on the Services does not imply any affiliation with, endorsement by, sponsorship by, approval by, or authorization from their respective owners unless explicitly stated otherwise in writing.

Nothing on the Services grants you any right, title, or interest in any third-party name, logo, trademark, or content.

You may not copy, reuse, scrape, republish, or exploit third-party materials obtained from the Services in a way that infringes the rights of others.

5. Accounts

Some features may require an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

We may suspend or terminate accounts that are inaccurate, insecure, fraudulent, abusive, or in violation of these Terms.

6. User Content and Uploaded Materials

You may submit, upload, store, or transmit content through the Services, including notes, text, prompts, images, screenshots, business cards, audio, transcripts, contact data, company lists, documents, and other materials ("User Content").

You retain ownership of your User Content, but you grant ProsGrow AI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, modify, adapt, display, and use such User Content as reasonably necessary to:

• operate and provide the Services;
• generate outputs, summaries, workflows, and recommendations;
• improve functionality, security, and performance;
• enforce these Terms and applicable policies; and
• comply with law.

You represent and warrant that:

• you have the necessary rights to provide the User Content;
• your User Content does not violate any law or third-party rights; and
• your User Content does not contain unlawful, infringing, deceptive, defamatory, or malicious material.

You must not upload sensitive or regulated content unless you have a lawful basis and proper authorization to do so.

7. Acceptable Use

You agree not to:

• violate any law or regulation;
• infringe intellectual property, privacy, publicity, or contractual rights;
• scrape, copy, harvest, or extract data from the Services at scale without authorization;
• use the Services to send spam, conduct fraud, or facilitate deceptive outreach;
• upload malware, harmful code, or malicious links;
• interfere with or disrupt the Services;
• reverse engineer the Services except to the extent prohibited by law;
• use the Services to build a competing dataset or competing service through unauthorized extraction; and
• misrepresent ProsGrow AI as an official conference organizer, official event platform, or authorized representative of any third party.

8. AI-Generated Content and Recommendations

The Services may generate AI-assisted or AI-generated outputs, including summaries, suggestions, rankings, search results, classifications, prospect lists, and follow-up recommendations.

These outputs are provided for informational and productivity purposes only. They may be incomplete, inaccurate, outdated, biased, or unsuitable for your use case. You are responsible for reviewing, validating, and deciding whether to rely on any output.

ProsGrow AI does not guarantee that any AI-generated or AI-assisted output is accurate, complete, current, lawful, or fit for any particular purpose.

9. Conference, Company, and Public Information

The Services may include information about conferences, exhibitors, companies, side events, contacts, or other business entities derived from public sources, user submissions, partners, internal processing, or AI-generated structuring and summarization.

Such information may contain errors, omissions, stale data, or incomplete records. ProsGrow AI does not guarantee the accuracy, completeness, legality, or availability of any conference- or company-related information.

10. Payments and Subscriptions

Certain Services may be paid, subscription-based, usage-based, or offered through credits. Pricing, billing intervals, and included features will be described at the point of purchase or within the Services.

Unless otherwise stated:

• fees are non-refundable;
• subscriptions renew automatically until canceled; and
• you authorize us and our payment processors to charge your payment method for applicable fees, taxes, and renewals.

We may change pricing or packaging in the future. Any such changes will apply prospectively.

11. Beta Features

Some features may be labeled as beta, preview, early access, or similar. Such features may be incomplete, unstable, or changed or removed at any time. We provide them "as is" without any warranty or commitment of continued availability.

12. Third-Party Services and Links

The Services may integrate with or link to third-party tools, payment processors, data providers, conference sites, maps, analytics services, or other external services.

We are not responsible for third-party services, content, policies, availability, or practices. Your use of those services is subject to their own terms and policies.

13. Intellectual Property

The Services, including our software, platform design, interface, workflows, text, graphics, compilations, databases, and original content, are owned by ProsGrow AI or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, or otherwise exploit any part of the Services.

14. Feedback

If you provide feedback, suggestions, ideas, or product requests, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and exploit them without restriction or compensation.

15. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSGROW AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, PROSGROW AI DOES NOT WARRANT THAT:

• the Services will be uninterrupted, error-free, or secure;
• any conference, company, exhibitor, side event, or contact information is accurate or current;
• any AI output will be reliable, complete, or suitable;
• any use of the Services will result in leads, revenue, deals, attendees, meetings, or business outcomes; or
• the Services are official, authorized, or endorsed by any event organizer or third party unless expressly stated.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSGROW AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• the amount you paid to ProsGrow AI in the 12 months before the event giving rise to the claim; or
• USD $100.

17. Indemnification

You agree to defend, indemnify, and hold harmless ProsGrow AI and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your use of the Services;
• your User Content;
• your violation of these Terms;
• your violation of any law or third-party right; and
• your misuse of conference, company, exhibitor, contact, or third-party information.

18. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk or liability, or misused the Services.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute-related provisions.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, unless otherwise required by applicable law.

20. Dispute Resolution

Any dispute arising from or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in San Francisco County, California, unless applicable law requires otherwise. You consent to personal jurisdiction and venue there.

21. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Services after changes become effective means you accept the updated Terms.
